Newtek Business Services Corp. Declares Special Dividend of $3.29 per Share
Company to Hold a Conference Call Today at 4:15 pm ET to Discuss the Special Dividend
NEW YORK, October 1, 2015 - Newtek Business Services Corp. (Newtek or the Company) (NASDAQ Global Market: NEWT), an internally managed business development company (BDC), today announced that its board of directors declared a one-time special dividend of approximately $34.0 million, or $3.29 per share (based on 10.3 million shares of Newtek Common Stock currently outstanding), payable on December 31, 2015 to Newtek shareholders of record as of November 18, 2015. The dividend will be paid in cash or shares of the Companys Common Stock at the election of each shareholder, although the total amount of cash to be distributed to all shareholders will be limited to 27% of the total dividend to be paid to all shareholders. The remainder of the dividend (approximately 73%) will be paid in the form of shares of the Companys Common Stock. The exact distribution of cash and stock to any given stockholder will be dependent upon his/her election as well as elections of other stockholders, subject to the pro-rata limitation described above. For tax purposes, 100% of this dividend will be classified as a qualified dividend. This special dividend is in addition to, and is not expected to impact, the Companys previously issued guidance of its anticipated annual cash dividend of $1.82 per share for 2015, based on 10.3 million shares of Newtek Common Stock outstanding before the distribution of the stock portion of the special dividend.
Additional information concerning the special dividend will be contained in a shareholder letter and accompanying election form, which will be mailed to registered shareholders following the record date.
