Item 8.01.      Other Events.
On December 29, 2022, the Compensation, Corporate Governance and Nominating Committee (the “Compensation Committee”) of the Newtek Business Services Corp. (the “Company”) Board of Directors, granted Barry Sloane, the Company’s Chief Executive Officer, President and Chairman, 61,652 restricted shares of the Company’s common stock as a restricted stock award with a three (3) year cliff vest (the “Award”) under the Company Stockholder and Board approved 2015 Stock Incentive Plan. The Compensation Committee has further determined that Mr. Sloane will not receive a cash bonus or additional long term compensation for calendar year 2022.
